Introduction
Welcome to Teammate (“Teammate,” "Slidebean", "we," "our," or "us"), a product by Slidebean Incorporated. By using our platform, services, or accessing our website (collectively, the "Services"), you agree to comply with and be bound by the following terms and conditions ("Terms").
Changes to Terms
Teammate reserves the right to modify these Terms at any time. We will make reasonable efforts to notify you of any changes through email or a notice on our platform. Your continued use of our Services following such notice will constitute your agreement to the updated Terms.
User Conduct and Acceptable Use
- Definition of Violations: Violations of acceptable use of the Services ("Violations") include but are not limited to illegal activities, harassment, hate speech, promoting violence, and violation of intellectual property rights. Teammate reserves the right to define what constitutes a Violation and to amend this definition at our discretion, with reasonable notice to users.
- Penalties for Violations: Teammate reserves the right to terminate or suspend your account and access to the Services for Violations. Repeated Violations may result in permanent banishment from the Services.
Data Retention and Account Termination
Upon termination of your account, you will lose access to all data and information stored within your account. Teammate commits to either delete or anonymize your personal data within 90 days following account termination, in compliance with applicable data protection laws.
Payments and Refunds
- Subscription Plans: Teammate offers various subscription plans for its Services. By selecting a subscription plan, you agree to pay the fees as quoted. All fees are non-refundable unless otherwise stated.
- Payment Failure: Failure to successfully complete payment or payment disputes will result in the termination or suspension of the Services until the issue is resolved.
- Refund Policy: Any requests for refunds should be made within 7 days. Eligibility for refunds will be assessed on a case-by-case basis and is at the sole discretion of Teammate.
Intellectual Property
- Ownership: You acknowledge that all intellectual property rights related to our Services and the underlying technology are owned by Teammate or our licensors.
- User Content: You grant Teammate a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, display, and distribute any content you upload or otherwise make available ("User Content").
- User Content Warranty: You warrant that you have all necessary permissions and rights to upload User Content and that such User Content does not infringe upon any third-party rights.
Dispute Resolution and Governing Law
- Arbitration: Any disputes arising out of your use of our Services will be settled through binding arbitration in the County of New Castle, Delaware.
- Class Action Waiver: You agree that any proceedings to resolve or litigate any dispute will be conducted solely on an individual basis, and that you will not seek to have any dispute heard as a class action, a representative action, a collective action, or in any proceeding in which you act or propose to act in a representative capacity.
- Governing Law: These Terms and any action related thereto will be governed by the laws of the State of Delaware without regard to its conflict of law provisions.
Limitation of Liability and Indemnification
- Limitation of Liability: To the maximum extent permitted by applicable law, Teammate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Services; (ii) unauthorized access or use of your account; or (iii) any unauthorized third-party use of the Services.
- Indemnification: You agree to indemnify, defend, and hold harmless Teammate, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of the Services, your violation of these Terms, or your violation of any third-party right, including but not limited to copyright, trademark, and privacy rights.
Termination
- By You: You may terminate your account at any time by following the instructions on the Services.
- By Teammate: Teammate reserves the right to suspend, disable, or delete your account (or any part thereof) if it determines that you have violated any provision of these Terms or that your conduct poses a risk of legal liability or could negatively impact Teammate's reputation or operations.
- Effect of Termination: Upon termination, you will no longer have access to the Services and all data will be irretrievably deleted, except as required by law or as necessary for legitimate business purposes.
Miscellaneous
- Entire Agreement: These Terms, along with any applicable policies and guidelines, constitute the entire agreement between you and Teammate and supersede all previous agreements.
- Amendments: Teammate reserves the right to amend these Terms at any time. Notice of amendments will be posted on the Services or sent to you via email.
- Waiver: The failure of Teammate to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
Governing Law and Jurisdiction
- Governing Law: These Terms and your use of the Services are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
- Jurisdiction: You agree that any legal action or proceeding related to your use of the Services or these Terms shall be filed only in the federal or state courts located in Wilmington, Delaware, United States. Both you and Teammate consent to venue and personal jurisdiction there.
Dispute Resolution
- Arbitration Agreement: You and Teammate agree to resolve any claims relating to these Terms or the Services through final and binding arbitration, except as set forth below.
- Exceptions: Disputes relating to intellectual property rights, and claims of emergency injunctive relief, will be resolved through the courts in the jurisdiction stated above.
Changes to Terms of Service
- Updates: Teammate reserves the right to modify these Terms at any time. If we make changes, we will notify you by revising the date at the top of these Terms and, in some instances, we may provide you with additional notice such as adding a statement to our homepage or sending you an email notification.
- Your Continued Use: Your continued use of the Services after any modification to these Terms will constitute your acceptance of such modifications.
